Palo Alto, Calif. -- Comprehend Systems, a Palo Alto-based developer of cloud-based software used to manage clinical trials, said on Thursday it has raised $8.4 million in its first round of funding, led by Sequoia Capital. Aaron Levie, Nils Johnson, Zod Nazem, Zorba Lieberman and the Life Science Angel Network also participated. Warren Hogarth of Sequoia will serve on the company's board of directors. Comprehend Systems said it will use the proceeds to continue development of its platform, known as Comprehend Clinical, which pulls together data from different systems to help users more easily track and analyze studies.

o EMC to Acquire Santa Clara-Based ScaleIO

Santa Clara, Calif. -- Nearly a month after reports of the deal first surfaced, Massachusetts-based data storage and infrastructure giant EMC on Thursday officially announced plans to acquire Santa Clara-based ScaleIO, a developer of server-based storage software. Financial terms of the deal were not disclosed, though published reports last month pegged it at $200-$300 million. ScaleIO will operate within EMC's Flash Product Division. David Goulden, the president and COO of EMC, said the acquisition "strengthens our product capabilities in the area of server-side storage and brings a world class team that will undoubtedly enable us to innovate more quickly in the future." The news comes eight months after ScaleIO, whose technology is designed to help data centers cut storage costs, raised $12 million in a round of funding from Greylock Partners, Norwest Venture Partners (NVP) and private investors.

San Francisco -- TouchOfModern, the San Francisco-based operator of an e-commerce site catering to style- and design-conscious urban professionals, said on Thursday it has raised $3 million in its first round of funding, led by Floodgate. Previous backer Hillsven Capital also participated. "This round of funding will help us scale and grow the business, and continue developing features to enhance our members' shopping experience," said co-founder and CEO Dennis Liu. "We also plan to add new design verticals, explore opportunities to expand internationally and continue to uncover talented designers that represent our vision." The site appeals primarily to men, featuring products from luxury brands such as Breitling, Rolex, Jacob Jensen and Pininfarina.

o S.F.-Based Salesforce.com Completes Tender Offer for ExactTarget

San Francisco -- Salesforce.com, the San Francisco-based developer of a customer relationship management platform, said on Thursday it has completed its cash tender offer for shares of Indianapolis-based ExactTarget, the developer of a cloud marketing platform. The company paid $33.75 a share in a deal valued at $2.5 billion. The tender offer launched in June. Salesforce said adding ExactTarget's digital marketing capabilities will allow it to create a marketing platform across email, social, mobile and the web. ExactTarget has more than 6,000 clients, including Coca-Cola, Gap and Nike.

o SEC Lifts 80-year-Old Ban on Advertisements for Private Investors

Washington, DC -- Hoping to jumpstart the economy with new sources of capital, the Securities and Exchange Commission (SEC) on Wednesday voted to allow hedge funds and private equity firms to advertise for potential investors. The rule, first passed by Congress last year as part of the Jumpstart Our Business Startups (JOBS) Act, opens the door for ads seeking accredited investors through sources such as TV, the Internet and billboards. There had been bans on such ads for the past 80 years. The SEC approved the measure by a 4 to 1 vote. Democratic Commissioner Luis Aguilar, the lone dissenter, warned that the new rule "will prove be a great boon to the fraudster" and could "lead to economic disaster for many investors.”
