Under the agreement, stockholders -- led by majority owner New Mountain Capital -- will receive $13 a share in cash for each of their shares. "This deal with Thoma Bravo delivers significant value to all of our existing shareholders and gives us a partner that is committed to Deltek's mission," said Kevin Parker, Deltek's chairman, president and CEO. The acquisition is expected to close by year's end. Deltek will continue to be based in Herndon and led by its current management team. It also will become a privately held company, with its stock no longer traded on the Nasdaq. The deal is expected to close by the end of this year. TMW's transportation software platform is currently used by more than 2,000 clients. The company, which has 500 employees, will become part of Trimble's Mobile Solutions segment. Brightstar said the acquisition will allow it to offer LetsTalk's services to its more than 100,000 manufacturer, operator, retail and enterprise customers. LetsTalk will be rebranded as Consensus, and David Stritzinger, Brightstar's former CTO, will be appointed president. Consensus will remain headquartered in San Francisco. The company said the moves are part of a plan to return approximately $1.1 billion to shareholders following its recent sale of patents to Microsoft. Under the share repurchase, AOL will pay $600 million to Barclays Bank, which will deliver the first 4 million shares by Aug. 30. The special one-time cash dividend is payable to shareholders on Dec. 14.
