The company, which plans to list its stock on the New York Stock Exchange under the symbol "CHGG," has not revealed details of the offering, such as the number of shares to be sold or their expected price range. Chegg's platform, which it calls the Student Hub, offers products and services targeting college students. Financial terms of the deal were not disclosed. Precog's platform is designed to help companies store, integrate and analyze large volumes of data. RichRelevance plans to integrate Precog's engineering team into data and analytics projects across its research and product development organization. The company plans to retain and expand Precog's office in Boulder, Col., with CEO John De Goes, a graduating member of Boulder's 2011 TechStars program, taking an unspecified role. The news sent shares of Millennial plunging nearly 18% in Wednesday's trading on the New York Stock Exchange. Under the agreement, which was based on Millennial's closing price on Friday, Jumptap shareholders will receive 24.6 million shares and own 22.5% of the combined company. Jumptap operates a mobile ad platform and maintains more than 100 million unique audience profiles. The company has 55 issued patents and more than 50 patents pending, covering broad aspects of the mobile ad market. "Millennial Media already runs one of the largest third-party digital media businesses, despite mobile being in its early stages," said CEO Paul Palmieri. "Jumptap's expertise in performance, cross-screen, real-time bidding and third-party data fit well with, and provide incremental scale to Millennial Media's existing platform."
