The combined company will be one of the largest pharmaceutical wholesalers and providers of logistics and services in the healthcare sector, with revenues of more than $150 billion and approximately 81,500 employees. McKesson and Celesio plan to maintain their own brands. John Hammergren, the chairman and CEO of McKesson, said the acquisition will allow his company to "provide our customers with more efficient delivery of healthcare products and services around the world." Under the deal, expected to close by the end of March, McKesson will acquire a 50.01% stake in the company from majority shareholder Franz Haniel & Cie, then launch parallel tender offers for Celesio's publicly traded shares. http://www.celesio.com http://www.mckesson.com/investors/investors/ _____________________________________________ o SEC Approves Rules to Let Companies Sell Stock Through Crowdfunding Washington, DC -- The Securities and Exchange Commission (SEC) voted unanimously on Wednesday to let companies raise funds by selling their stock through Internet crowdfunding platforms. The proposed rules, which wouldn't go into effect at least until the end of a 90-day public comment period, would remove many of the hurdles currently faced by startups and small companies when trying to raise funds. Congress last year created an exemption to permit securities-based crowdfunding when it passed the JOBS Act. Under the proposed rules, a company would be able to raise up to $1 million through crowdfunding in a 12-month period. Many companies would be ineligible, including those that are not based in the U.S. or already report to the SEC. "There is a great deal of excitement in the marketplace about the crowdfunding exemption, and I’m pleased that we’re in a position to seek public comment on a proposal to permit crowdfunding," said Mary Jo White, chair of the SEC.
