o Comcast to Acquire Time Warner Cable in $45.2 Billion Deal

Philadelphia -- In a marriage of the nation's two largest cable operators, Comcast said on Thursday it will acquire rival Time Warner Cable in an all-stock deal valued at $45.2 billion. Under the agreement, which is sure to face heavy scrutiny by federal regulators, each share of Time Warner Cable will be exchanged for nearly 2.9 shares of Comcast, leaving current Time Warner Cable shareholders with a 23% stake of the combined company. Comcast said it expects to add about 8 million net subscribers, raising its base to approximately 30 million. Time Warner Cable owns cable systems located in areas such as New York City, Southern California, Texas, the Carolinas, Ohio and Wisconsin, and also operates more than 30,000 Wi-Fi hotspots, primarily in New York and Los Angeles. The combination is expected to produce about $1.5 billion in operating efficiencies. "In addition to creating a world-class company, this is a compelling financial and strategic transaction for our shareholders," said Brian Roberts, the chairman and CEO of Comcast. The deal is expected to close by the end of 2014.
