o SanDisk's $1.1 Billion Acquisition of Fusion-io Clears Antitrust Review

Milpitas, Calif. -- A month after first announcing the $1.1 billion deal, SanDisk, the Milpitas-based developer of flash storage products, said on Wednesday it has cleared a hurdle in its bid to acquire Utah-based Fusion-io, the developer of an application acceleration platform with federal offices in Herndon. SanDisk announced that the waiting period for U.S. antitrust review under the Hart-Scott-Rodino Antitrust Improvements Act expired Tuesday night, and that it won't need to make any pre-merger notifications in Germany. The company said it will be able to proceed with the deal once at least half of Fusion-io's shares are validly tendered for $11.25 each. The deal is still expected to close during the third quarter.
