o Zillow to Acquire San Francisco-Based Trulia for $3.5 Billion

San Francisco -- Days after reports first surfaced about a possible deal, Seattle-based Zillow, operator of the nation's most visited real estate website, said on Monday it will pay $3.5 billion in stock to acquire San Francisco-based challenger Trulia. The deal, which will make Zillow the country's dominant site for house listings, is expected to close in 2015. Trulia CEO Pete Flint will continue to head that business, reporting to Zillow CEO Spencer Rascoff. The combined company will maintain both the Zillow and Trulia brands, which drew 83 million and 54 million unique users, respectively, in June. Trulia shareholders will own approximately 33% of the combined company at closing.

o Report: Google Signs Deal to Acquire Twitch for $1 Billion

Mountain View, Calif. -- Sources have now confirmed that Mountain View-based Google will pay $1 billion to acquire Twitch, the San Francisco-based provider of a video platform and community for gamers, VentureBeat reported. The companies have yet to officially announce the deal, though news of impending acquisition was widely reported last week. Twitch has more than 50 million monthly active users of its service, which allows users to broadcast their own gameplay sessions to online viewers. The company, launched in 2011, has raised about $35 million from investors including Bessemer Venture Partners, Alsop Louie Partners, WestSummit Capital, Take-Two Interactive Software, Thrive Capital and Draper Associates.

o San Francisco-Based Thoma Bravo to Acquire Sparta Systems

San Francisco -- Thoma Bravo, the San Francisco-based private equity investment firm, said on Monday it has completed its acquisition of New Jersey-based Sparta Systems from current owners Summit Partners and Altaris Capital Partners. Financial terms of the deal, first announced in June, were not disclosed. Founded in 1994, Sparta Systems is the developer of a quality management platform designed to help manufacturers deliver products to market more safely and efficiently. The company counts several of the largest pharmaceutical, medical device, consumer products and discrete manufacturing companies among its clients.

o Report: Cupertino-Based Apple to Acquire Swell

Cupertino, Calif. -- Continuing its string of recent acquisitions, Cupertino-based Apple is in talks to acquire Mountain View-based Swell, developer of a mobile app for finding, downloading and managing podcasts, for about $30 million, re/code reported. Most of Swell's team reportedly will join Apple, including CEO Ram Ramkumar. The company's iPhone app will be shut down this week. Swell is backed by DFJ, Google Ventures, InterWest Partners, Draper Nexus Ventures and Correlation Ventures, and also received seed funding from Charles River Ventures, a16z seed and Inspovation Ventures. In recent months, Apple has acquired Dr. Dre's Beats Electronics and book recommendation service BookLamp.

o FTC Recommends Mobile Industry Changes to Combat Mobile Cramming

Washington, DC -- Responding to the growing problem of "mobile cramming," the Federal Trade Commission (FTC) on Monday called on mobile carriers to let consumers block third-party charges on their phone bills. Such a change, the agency said, would help put an end to the illegal practice, in which scammers place unauthorized charges on the mobile phone bills of unwitting consumers. Other recommendations include cracking down on deceptive advertising, marketing and opt-in processes; requiring express consent before charging consumers; clearly displaying third-party charges on bills; and creating an effective process for resolving disputes. "Mobile cramming is an issue that has affected millions of consumers, sticking them with charges they did not authorize, and the FTC has worked hard to combat it," said Jessica Rich, director of the FTC's Bureau of Consumer Protection. "The best practices recommended in our report… would give consumers needed protections to rein in the problems we have seen."
