o San Carlos-Based Rovi to Acquire TiVo in $1.1 Billion Deal

San Carlos, Calif. -- In a blockbuster deal in the consumer entertainment space, San Carlos-based Rovi, a developer of entertainment search and navigation technology, said on Friday it will pay $1.1 billion in cash and stock to acquire San Jose-based digital video recorder-giant TiVo. Under the deal, Rovi will pay $2.75 a share in cash and another $7.95 a share in stock. Upon closing, which is expected to occur after midyear, the combined company will retain the TiVo name, and be led by current Rovi CEO Tom Carson. "The combined capabilities of TiVo and Rovi place us in a tremendous position to extend services across platforms and to a customer base that includes traditional, over-the-top and emerging players across the globe," said Carson. Rovi said the acquisition will add more than 10 million TiVo-served households to its current base of approximately 18 million households currently using Rovi programming guides. The combined company is expected to generate more than $800 million in revenue this year. Naveen Chopra, TiVo's interim CEO and CFO, called the move the "logical next step" for his company, which he said will benefit from "being part of a more diversified industry leader with significantly greater market opportunities."

o Mountain View-Based Natero Launches After Raising $3.3 Million

Mountain View, Calif. -- Natero, a Mountain View-based software startup, said it has officially launched operations after raising $3.3 million in seed funding. The company, backed by Merus Capital, Salesforce Ventures, Y Combinator and Andreesen Horowitz Seed, has developed a customer success platform for Software-as-a-Service (SaaS) vendors that combines machine learning, for predicting behavior, with big data analytics, for deep customer insights. Natero said the platform is designed to help clients increase customer retention and identify accounts that are ripe for expansion. "Existing customer success solutions are based solely on intuition and best-guesses rather than data science and business intelligence," said founder and CEO Craig Soules. "As a result, companies are missing out on critical opportunities to retain and expand within their existing accounts."

o Genpact Opens Silicon Valley Innovation Center in Palo Alto

Palo Alto, Calif. -- Genpact, a New York-based provider of digitally powered business process management and services, said it has opened a new Innovation Center near Stanford University in Palo Alto. The company said it will use the facility to develop and showcase technology for finance and accounting, banking, insurance, manufacturing, consumer goods, life sciences and high-tech clients. Genpact, which was founded two decades ago as a General Electric division before later becoming an independent company, said the center will be one of the few of its kind in Silicon Valley to "fully address how to apply technology beyond just front-end customer engagement," also bringing clients' middle and back offices into the digital age. The goal, said Genpact, is to help companies deliver a seamless customer experience through a program that includes design thinking workshops, digital incubation programs and a co-innovation lab.

o Palo Alto-Based Amino Capital Invests in Levyx

Palo Alto, Calif. -- Amino Capital, a Palo Alto-based venture capital firm, said it has invested in Irvine-based Levyx, a developer of processing technology designed to reduce infrastructure costs associated with big-data applications, as part of the company's new $5.4 million first round. OCA Ventures led the round, which also included participation from Sumavision USA and individual investors. "We have seen a huge amount of innovation in the software and storage hardware associated with big-data applications, but there are big inefficiencies because the two sides have been walled off from one another," said founder and CEO Reza Sadri. "By fixing this disconnect with a fundamentally new software stack, we pave the way for real-time processing of big-data workloads for the masses."
