o Vista Equity Completes $564 Million Acquisition of San Jose-Based Xactly

San Jose, Calif. -- Private equity firm Vista Equity Partners said on Monday it has completed its $564 million acquisition of San Jose-based Xactly, a developer of cloud-based incentive compensation tools for employee and sales performance management. The deal, first announced in May, takes Xactly private, and its shares will cease trading on the New York Stock Exchange. "Joining Vista marks a significant milestone on our journey," said Christopher Cabrera, the founder and CEO of Xactly. "Vista is the ideal partner to accelerate our growth initiatives." Vista, which maintains offices in San Francisco and Oakland, paid $15.65 a share in cash. Xactly's headquarters will remain in San Jose.

o Santa Clara-Based Invecas to Acquire Assets from Lattice Semiconductor

Santa Clara, Calif. -- Invecas, a Santa Clara-based provider of chip design services, said on Monday it will acquire Lattice Semiconductor's HDMI design team and Simplay Labs unit, which oversees standards compliance and interoperability testing services. Financial terms of the deal, expected to close in August, were not disclosed. The acquisition will include approximately 150 research and development staff, labs and other assets from Lattice's operations in San Jose; Hillsboro, OR; India; and China. "This transaction will be a tremendous addition to our technical capabilities as well as to our IP, advanced SERDES and product portfolios," said CEO Dasaradha Gude. Lattice gained its HDMI development team and R&D labs as part of its 2015 acquisition of Silicon Image.

o Santa Clara-Based Intel Extends Tender Offer for Shares of Mobileye

Santa Clara, Calif. -- Inching closer to its $15.3 billion acquisition of Israel's Mobileye, Santa Clara-based chipmaker Intel said on Monday it has again extended its tender offer for the company, pushing the expiration date to at least Aug. 11. So far, about 79% of shares have been validly tendered for $63.54 each. Intel, however, previously has said it is seeking 95%. The company said the acquisition, first announced in March, will bolster its position in the fast-growing market for autonomous vehicle systems, data and services, expected to grow to $70 billion by 2030.

o Discovery to Acquire Rival Scripps for $14.6 Billion

Silver Spring, Md. -- Following weeks of speculation, Discovery Communications, the media company behind such cable TV staples as the Discovery Channel, TLC and Animal Planet, said Monday morning it will pay approximately $14.6 billion to acquire Scripps Networks Interactive, the owner of HGTV, Travel Channel and Food Network. The deal, for $90 a share in cash and stock, is expected to close in early 2018, giving Discovery more leverage to negotiate deals with cable companies. The two companies produce approximately 8,000 hours of original programming a year, and own nearly a 20% share of ad-supported pay-TV audiences in the U.S. "We believe that by coming together with Scripps, we will create a stronger, more flexible and more dynamic media company with a global content engine that can be fully optimized and monetized across our combined networks, products and services," said David Zaslav, the president and CEO of Discovery. Viacom reportedly also had been in talks with Scripps.
