o San Mateo-Based RingCentral Files to Raise $100 Million in IPO

San Mateo, Calif. -- RingCentral, the San Mateo-based developer of cloud-based business communications tools, has filed with the Securities and Exchange Commission (SEC) to raise up to $100 million in its initial public offering (IPO). The company has yet to reveal details of the offering, such as the number of shares to be sold or their expected price range. It expects to list its stock under the symbol "RNG." RingCentral, which is primarily backed by Sequoia Capital, Khosla Ventures and DAG Ventures, generated $106 million in sales last year for a net loss of about $34 million.

o S.F.-Based WaterSmart Software Lands $4.5 Million in First Round

San Francisco -- WaterSmart Software, a San Francisco-based developer of software used by utilities to help educate customers about conservation, said on Tuesday it has raised $4.5 million in its first round of funding, led by The Westly Group. Physic Ventures, Draper Fisher Jurvetson and Apsara Capital also participated. "This infusion of capital will help WaterSmart build on the success of the last year and bring our cloud-based customer engagement software to more water utilities across the country," said founder and CEO Peter Yolles. WaterSmart provides cloud-based software to help water utilities engage their residential customers and make personalized recommendations on how to conserve water. The company has announced contracts with utilities throughout California, Colorado and Texas including East Bay MUD, Irvine Ranch Water District, and the Cities of Sacramento, Davis and Newport Beach.

o San Francisco-Based 99designs Acquires Brazil's LogoChef

San Francisco -- 99designs, the San Francisco-based operator of an online graphic design marketplace, said on Tuesday it has acquired Brazil-based counterpart LogoChef. Financial terms of the deal were not disclosed. CEO Patrick Llewellyn, the president and CEO of 99designs, called the acquisition "the next step in our globalization strategy." 99designs also said it has launched a Portuguese version of its site at 99designs.com.br. LogoChef is the company's second acquisition in the past year, after last August acquiring European design marketplace 12Designer.

o Ted Tewksbury Resigns as President and CEO of San Jose-Based IDT

San Jose, Calif. -- Integrated Device Technology (IDT), the San Jose-based developer of analog and mixed-signal semiconductors, said that Ted Tewksbury has resigned as its president and CEO. The company, which did not offer a specific reason for Tewksbury's departure, has named board member Jeffrey McCreary as its interim head. McCreary, a former senior vice president at Texas Instruments, has served on the company's board since mid-2012. The board has formed a search committee to find candidates to fill the roles on a permanent basis.

o SoundExchange Sues SiriusXM Over Unpaid Royalties

Washington, DC -- SoundExchange, the non-profit that collects royalties for musicians from satellite radio firms, Internet radio services and cable music channels, said it has filed a suit against SiriusXM seeking to recover what it calls "massive underpayment" of digital royalties over a six-year period. The organization said the satellite radio firm underpaid by "$50 to $100 million or more" by taking a number of impermissible deductions and exemptions in calculating its royalty payments from 2007-2012. The suit was filed in the U.S. District Court for the District of Columbia. "SiriusXM is knowingly withholding royalties from the creators who bring life to their service, even as the company continues to experience unprecedented and explosive growth," said Michael Huppe, the president and CEO of SoundExchange.
