o Elliott Management Makes Bid for S.F.-Based Riverbed Technology

San Francisco -- Hedge Fund Elliott Management has offered more than $3 billion to acquire San Francisco-based Riverbed Technology, the company confirmed on Wednesday. Elliott offered $19 a share for the company, in which it already owns a 10.5% stake. The news drove shares of Riverbed up more than 9% to $19.53 in Wednesday's trading on the Nasdaq. "Consistent with its fiduciary duties, and in consultation with its financial and legal advisors, Riverbed's board will review the offer and communicate its views in due course," the company said in a statement. Riverbed recently adopted a shareholders rights plan designed to help the company fend off hostile takeovers.

o San Mateo-Based Lumiata Raises $4 Million from Khosla Ventures

San Mateo, Calif. -- Lumiata, a San Mateo-based developer of predictive analytics focused on medical science and patient data, said on Wednesday it has raised $4 million in its first round of funding from Menlo Park-based Khosla Ventures. The company, formerly known as MEDgle, said it will use the proceeds to refine and commercialize its medical graph-based predictive analytics engine, currently being piloted by several hospital networks and health insurance carriers. Ash Damle, the founder and CEO of Lumiata, said the company uses a "GPS-like health navigation system" to calculate a user's best routes to getting and staying healthy. "We believe that data-driven medical decisions can drive high quality, optimized care at a much lower cost," said Damle. http://www.lumiata.com

o Santa Clara-Based Citrix Acquires San Francisco-based Framehawk

Santa Clara, Calif. -- Citrix Systems, the Santa Clara-based developer of cloud, collaboration, networking and virtualization technologies, said on Wednesday it has acquired San Francisco-based Framehawk, developer of a platform designed to optimize the delivery of virtual desktops and applications to mobile devices. Financial terms of the deal were not disclosed. Citrix said it plans to combine the technology with its own products, with Framehawk's leadership and engineering teams integrated into its Enterprise and Service Provider division. "Enabling businesses to embrace and deliver Windows apps and desktops for all of its employees, regardless of their work location, is a key success metric for both of our companies, and our customers alike," said Peter Badger, the co-founder and CEO of Framehawk.

o Adyen Moving North American Headquarters to San Francisco

San Francisco -- Dutch payment technology firm Adyen on Wednesday announced plans to move its North American headquarters from Boston to San Francisco. The company said the move will strengthen its presence in Silicon Valley and put it in closer proximity to the majority of its customers. The company also named Kamran Zaki as the president of Adyen North America. Zaki most recently served as the head of global payments at Netflix, and previously spent seven years at PayPal. He succeeds Peter Caparso, who will continue to lead all of Adyen's commercial activities in the U.S. market. "The U.S. is a very strategic market for Adyen, having experienced a fantastic growth in the region last year," said CEO Pieter van der Does. "We look forward to Kamran driving our future success and building the Adyen brand here." Adyen's platform supports all sales channels, including online, mobile and point-of-sale, and is used by clients such as Mango, KLM Airlines, Superdry, TomTom, i-Parcel, PhotoBox, Lebara, Indiegogo, SoundCloud and Vodafone.

o San Francisco-Based Fandor Names Ted Hope as New CEO

San Francisco -- Fandor, the San Francisco-based developer of an online service for independent and international films, on Wednesday named Ted Hope as its new CEO. Hope, former executive director of the San Francisco Film Society, will officially begin Jan. 30. "Our entire film culture remains structured around antiquated concepts of cinema, audience and engagement," said Hope, who has been on Fandor's board of advisors since 2011. "Fandor is part of a great systems reboot of this ecosystem, one that is as equally rewarding for the artist and the audience." Founder and current CEO Dan Aronson will transition to CTO and continue to serve on the company's board of directors.
