o Facebook to Pay $19 Billion for Mountain View-Based WhatsApp

Menlo Park, Calif. -- Hoping to further bolster its user base, Menlo Park-based Facebook said it will pay $19 billion to acquire Mountain View-based WhatsApp, developer of a cross-platform mobile messaging app used by more than 450 million people a month. The deal includes $4 billion in cash and $12 billion in Facebook stock, as well as another $3 billion in restricted stock for WhatsApp's founders and employees, which will vest over four years. WhatsApp's Messenger, which allows users to exchange messages without having to pay for texting, is available for iPhone, BlackBerry, Windows Phone, Android and Nokia. "WhatsApp is on a path to connect 1 billion people," said Mark Zuckerberg, Facebook's founder and CEO. "The services that reach that milestone are all incredibly valuable." Facebook said it plans to maintain WhatsApp's brand, as well as the company's headquarters in Mountain View. Jan Koum, WhatsApp's co-founder and CEO, will join the social network's board of directors. WhatsApp's core messaging product and Facebook's existing Messenger app will continue to operate as standalone applications.

o Mountain View-Based Synopsys to Acquire San Francisco's Coverity

Mountain View, Calif. -- Synopsys, a Mountain View-based developer of electronic design automation (EDA) and semiconductor technology, said it will pay $375 million to acquire San Francisco-based Coverity, a maker of software quality, testing and security tools. The deal is expected to close by the end of April. Coverity, which is backed by Foundation Capital and Benchmark Capital, is the developer of a platform used by more than 1,100 customers to automatically test source code for software defects. "For Synopsys this is a natural technology adjacency and the opening of a significant new, growing market space," said Aart de Geus, the chairman and co-CEO of Synopsys.

o Santa Clara-Based Violin Memory Cuts Workforce in Restructuring

Santa Clara, Calif. -- Violin Memory, a Santa Clara-based developer of persistent memory-based storage systems, said on Thursday it has cut more than 20% of its workforce as part of a restructuring plan that also includes a reorganization of its sales, marketing and engineering functions. The moves leave the company with 380 employees, down from 483 at the end of October. In a related move, Violin said it will explore strategic alternatives for its PCIe flash memory card business. It expects to take action by the end of the first quarter, cutting annual operating expenses by $10 million. "The market opportunity for flash-based storage infrastructure is accelerating, and the restructuring actions we are announcing today should further strengthen our ability to capitalize on this growing opportunity," said Kevin DeNuccio, the company's president and CEO.

o SK Telecom Americas Launches Tech Accelerator in Sunnyvale

Sunnyvale, Calif. -- SK Telecom Americas, the U.S. investment arm of Korea's largest wireless operator, said on Thursday it has launched a new technology accelerator in Sunnyvale. The venture, called SKTA Innovation Accelerator, will fund startups in the data center and computing technology arenas. Startups accepted into the program will receive up to $1 million in combined funding, services and facilities, and be paired with strategic partners. "Over the past decade, venture capital funding has swung to software and cloud services, and it’s no longer in vogue for VCs to invest in core technologies," said Min Park, the president of SK Telecom Americas. "We created SKTA Innovation Accelerator to fill this critical void in the technology ecosystem by pioneering a new funding model that brings financial velocity to IT infrastructure startups by enabling a quick path from concept to exit."

o San Mateo-Based Beckon Launches Following Two Years in Stealth

San Mateo, Calif. -- Following two years in stealth mode, San Mateo-based Beckon on Thursday officially launched operations with the release of a platform designed to help marketers manage, measure and optimize their spending across all channels. "There are so many ways to spend our marketing dollars, and at the same time, tremendous pressure to justify the decisions we make," said co-founder and CEO Jennifer Zeszut. "With this launch, marketers finally have a platform for experimentation and accountability." The company said its web-based platform can pull in data from APIs and data warehouses, and also lets users insert data from an array of reports. Beckon so far has worked with brands such as Converse, Nokia, BSkyB, StubHub and Union Bank.
