o San Jose-Based eBay Settles Proxy Fight with Investor Carl Icahn

San Jose, Calif. -- eBay said it has reached a deal with activist investor Carl Icahn, ending a proxy fight before next month's annual stockholder meeting. Under the agreement, Icahn has withdrawn his proposal to separate the company's PayPal business, as well as his two nominees to the board of directors. In exchange, eBay has agreed with Icahn's suggestion to appoint David Dorman, a founding partner of Centerview Capital Technology and chairman of CVS Caremark, as an independent director. Dorman is the former chairman and CEO of AT&T, and was chairman of Motorola when that company separated its mobile device and home businesses. Icahn said he reached an accord with eBay following several productive conversations with John Donahoe, its president and CEO. "We both strongly believe in the great potential of eBay and PayPal, and I have found a number of his ideas to be extremely compelling," said Icahn, who owns more than 2% of eBay. "However, I continue to believe that eBay would benefit from the separation of PayPal at some point in the near future and intend to continue to press my case through confidential discussions with the company."

o San Francisco-Based AppDirect Raises $35 Million in Third Round

San Francisco -- AppDirect, the San Francisco-based developer of a cloud service marketplace and management platform, said on Thursday it has raised $35 million in its third round of funding, led by new investor Mithril Capital Management. Previous backers iNovia Capital, the Foundry Group and StarVest also took part in the round. The company's platform powers the marketplaces of clients such as Samsung, Staples and Rackspace. "Now, we can focus on growth without sacrificing the vision and values that have powered our success so far," said Daniel Saks, the co-founder and co-CEO of AppDirect.

o San Francisco-Based Fundbox Raises $17.5 Million in First Round

San Francisco -- Fundbox, the San Francisco-based developer of a deep data analytics tool designed to help small businesses decide which invoices to clear, said on Thursday it has raised $17.5 million in its first round of funding, led by Khosla Ventures. Other participants included Ron Conway's SV Angels; Vikram Pandit, the former CEO of Citigroup; Tom Glocer, the former CEO of Thomson Reuters; Jay Mandelbaum, the former head of strategy and e-commerce at JP Morgan Chase; Emil Michael, the senior vice president of business at Uber; Shlomo Kramer, the CEO Imperva; and David Krell, the chairman of ISE. The company plans to use the proceeds to scale its data operations and product, increase marketing outreach efforts, expand its San Francisco headquarters, and make additional hires in the Bay Area. Fundbox processes tens of thousands of invoices daily, offering small business owners the ability to fix their cash flow by advancing payments for unpaid invoices.

o Menlo Park-Based Smule Lands $16.5 Million in New Funding

Menlo Park, Calif. -- Smule, a Menlo Park-based developer of social music-making apps, said on Thursday it has raised $16.6 million in a new round of funding, according to CNET. The company, which has created social music apps such as Sing! Karaoke and Magic Piano, said Roth Capital led the round, which may be the prelude to a possible initial public offering (IPO). Launched in 2008, Smule said it generated $21 million in sales last year and $8.5 million in the first quarter this year, and currently has more than 200,000 paying subscribers.

o Mountain View-Based STC Acquires Aditi Technologies

Mountain View, Calif. -- Symphony Teleca Corp. (STC), a Mountain View-based provider of software product development, big data integration and analytics services, said on Thursday it will acquire India's Aditi Technologies, a provider of cloud-led application development services. Financial terms of the deal were not disclosed. STC said the acquisition will bolster its design and cloud expertise offerings. Aditi will operate as a division of STC under the leadership of current CEO Pradeep Rathinam. The combined company will have approximately 7,500 employees in 40 offices, with innovation hubs in North and South America, Europe and Asia.

San Francisco -- Zendesk, the San Francisco-based developer of a customer service platform, said on Thursday it has acquired Singapore-based Zopim Technologies, a maker of live chat software. Financial terms of the deal were not disclosed. Zendesk said the acquisition will expand the chat capabilities of its customer service platform over the coming months. "Real-time chat has become the foundation for how customers want to communicate online today," said Mikkel Svane, the founder and CEO of Zendesk. "Zopim has a proven track record of providing tools for proactive engagement."

Santa Clara, Calif. -- Palo Alto Networks, a Santa Clara-based developer of cybersecurity tools designed to protect enterprise, government, and service provider networks from attacks, said on Thursday it has completed its $200 million acquisition of Israeli cybersecurity firm Cyvera. The deal was first announced last month. Cyvera, which has 55 employees, has developed an offering designed to protect clients from cyber threats by blocking unknown, zero-day attacks on the endpoint.
