o Geeknet Accepts Sweeter Deal to Be Acquired by GameStop

Fairfax, Va. -- Days after putting a hold on its previously announced acquisition by Hot Topic, Virginia-based Geeknet, the parent company of online retailers ThinkGeek and ThinkGeek Solutions, said on Tuesday it now will be bought by Texas-based video game and consumer electronics retailer GameStop. The $20-a-share deal values Geeknet at $140 million -- $18 million more than the deal it originally accepted a week ago. That deal provided Geeknet with the ability to accept a superior offer if it paid a 3% break-up fee, which GameStop has agreed to cover. Now, GameStop will launch a cash tender offer for shares of the company, which it said provides a "natural extension of GameStop's existing product offering." "Our board and management team believe this transaction is in the best interest of Geeknet and its stockholders," said Kathryn McCarthy, the CEO of Geeknet. "As a part of GameStop's family of brands, Geeknet will be well-positioned to achieve our goals of increasing our brand awareness and expanding our product offerings." The acquisition is expected to close by the end of July.
