o Microsemi Trumps Skyworks' Offer to Buy Sunnyvale-Based PMC-Sierra

Sunnyvale, Calif. -- Microsemi, an Aliso Viejo-based chipmaker, said on Monday it has offered to buy Sunnyvale-based PMC-Sierra in a cash and stock deal valued at $2.4 billion, trumping a $2 billion offer made by Skyworks Solutions earlier this month. Under the proposal, PMC shareholders would receive $8.75 in cash and 0.07 of a share of Microsemi stock for each of their shares. "Microsemi's proposal is clearly superior to the proposed transaction with Skyworks on the basis of value, speed and certainty," wrote James Peterson, Microsemi's chairman and CEO, in a letter to PMC's board. He said his company also would benefit from increased scale, better margins, diversified market exposure, consolidated infrastructure and "substantial" cost savings. The news comes two weeks after Skyworks Solutions, a Massachusetts-based developer of analog semiconductors, said it would pay $2 billion in cash to acquire the company, which makes semiconductors and software focused on data storage, optical and mobile networks. The latest news drove shares of PMC-Sierra up nearly 15% in Monday's trading on the NASDAQ.

o San Jose-Based Ensighten Raises $53 Million in Debt and Equity

San Jose, Calif. -- Ensighten, the San Jose-based developer of a marketing platform designed to help brands simplify their customer data operations and drive more intelligent interactions, said on Monday it has raised $53 million in a new round of debt and equity. Previous backers Insight Venture Partners, Lead Edge Capital, Mack Capital and Volition Capital co-led the round, which also included participation from Silicon Valley Bank. Ensighten said it will use the proceeds to bolster product development and sales activities for its omni-channel customer data platform, which features enterprise tag management, mobile app deployment and optimization, and customer profile creation and activation. Clients added this year include Christopher & Banks, Citibank, Coca-Cola, Colgate-Palmolive, Delta, HD Supply, M7, Nationwide, PayPal and SunTrust Bank.

o Richmond-Based Naia Limited Raises $5.3 Million in First Round

Richmond, Calif. -- Naia Limited, a Richmond-based drug development company, said on Monday it has raised $5.3 million in its first round of funding, led by previous backer Pharco Pharmaceuticals. Other participants included members of the management team of The Trout Group, an investor relations firm in the life sciences industry. Naia plans to use the proceeds to bolster its subsidiaries, which are developing clinical-stage compounds for short bowel syndrome (SBS), non-alcoholic steatohepatitis (NASH) and Type 2 diabetes. "We have been working diligently to advance our pipeline, build our company and achieve several critical milestones," said Daniel Perez, the company's co-founder, chairman and CEO. "[We] will utilize these new funds to advance our compounds toward clinical trials."

o San Mateo-Based SIOS Technology Promotes Jerry Melnick to CEO

San Mateo, Calif. -- SIOS Technology, a San Mateo-based developer of IT analytics software, said on Monday it has promoted Jerry Melnick to president and CEO. He succeeds Nobuo Kita, who will retain his role as the chairman, president and CEO of Japanese parent SIOS Technology Group. Melnick has served as the company's COO since 2013, and previously was the CTO of Marathon Technologies. "Under his tenure, Jerry has led and transformed SIOS as a truly innovative company, from growing our leadership position in the high availability clustering software market to spear-heading our entrance into the IT operations analytics market," said Kita. The company also named Charles Lenis as its senior vice president of worldwide sales. Lenis most recently was the director of North American sales at Allot Communications.

o Silicon Valley Startups Land $7.9 Billion During Third Quarter

San Francisco -- Venture capitalists invested $7.9 billion Silicon Valley companies during the third quarter, down 12% from the $8.9 billion invested in the previous quarter, according to the newest MoneyTree Report from PricewaterhouseCoopers (PwC) and the National Venture Capital Association (NVCA). The report, based on data provided by Thomson Reuters, included 337 VC deals, down from 376, reflecting a slight downward trend nationwide. Still, U.S. startups now have landed more than $10 billion in funding for each of the past seven quarters. "Despite a modest downtick in dollars and deals in the third quarter, we are still in a midst of a robust market and this quarter marks the second highest quarter in aggregate investment dollars since the fourth quarter of 2000," said Tom Ciccolella, PwC's U.S. venture capital market leader. "Though software remains dominant, the top 10 deals included rounds of funding across seven industries, illustrating continued investment appetite in new areas of innovation across industries.
