o Microsemi Again Trumps Skyworks' Offer for PMC-Sierra

Sunnyvale, Calif. -- The back-and-forth battle to acquire Sunnyvale-based big data semiconductor and software company PMC-Sierra continued on Friday, with Massachusetts-based Skyworks Solutions first increasing its bid for the company, than rival Microsemi trumping it. Microsemi is now offering $11.88 a share in cash and stock in a deal that valued PMC at $2.35 billion. Earlier on Friday, Skyworks had offered $11.60 a share in cash, or $2.24 billion. James Peterson, Microsemi's chairman and CEO, is doing his part to attempt to win over PMC's shareholders. "Our offer is more strategic, offers more certainty in terms of closing approval process and timing and at a higher price than the Skyworks proposal," said Peterson in a statement. Skyworks initially had offered $2 billion for the company earlier this month.

o Mountain View-Based Omnicell to Acquire Aesynt for $275 Million

Mountain View, Calif. -- Omnicell, a Mountain View-based developer of medication and supply management software for healthcare systems, said it will pay $275 million in cash to acquire Pennsylvania-based Aesynt, a developer of enterprise medication management tools. Omnicell said the acquisition will give it significant offerings in automated dispensing systems, central pharmacy robotics, IV robotics and enterprise analytics. The combined company would support approximately 4,000 acute care facilities worldwide, generate annual revenue of more than $650 million and have approximately 2,200 employees. "As hospitals search for ways to provide the best patient care and also the most efficient care, customers are looking for solutions that can be scaled and customized to fit the unique needs of their health system," said Randall Lipps, Omnicell's chairman, president and CEO.

o Burlingame-Based Monclarity Raises $5M, Launches Brain-Training App

Burlingame, Calif. -- Monclarity, a Burlingame-based developer of brain training applications, said on Friday it has raised $5 million in seed funding from Access Industries. The company also said it has launched Brainwell, a brain training app that aims to improve cognitive function. The app, now available for the iOS, Android, Kindle and web platforms, uses a proprietary algorithm to customize sessions for each specific user in the areas of problem solving, memory, vision, attention, language and critical thinking. "A flood of discoveries suggest that guided cognitive activities produce biological changes in the brain and trigger neuroplasticity effects," said co-founder Elkhonon Goldberg, a neuropsychologist and neuroscientist. "I hope our users will fulfill their cognitive goals because they enjoy regularly using our games."

San Jose, Calif. -- Neosem, the South Korean developer of a storage and flash memory test system, said on Friday it has acquired San Jose-based Flexstar Technology, a developer of software for the storage technology market. Financial terms of the deal were not disclosed. Flexstar will continue to operate out of its San Jose headquarters and Longmont, Col. facility. "Our combined technology, engineering and service offerings enhances our collective differentiation and market position," said DH Yeom, the CEO of Neosem. "Together we are poised to take advantage of the growth and opportunities in the rapidly evolving storage technology marketplace." Flexstar's testing software is used by data storage system manufacturers to enable development, quality assurance and reliability testing for a variety of storage devices.

San Francisco -- Atlassian, a San Francisco-based developer of tools designed to help teams more effectively collaborate and build software, on Friday named Murray Demo as its new CFO. He succeeds Erik Bardman, whose departure, the company said, "is related to matters with a past employer." Demo has served on the company’s board of directors for the past four years, and as its audit committee chair. He has resigned his board seat to assume the role of CFO. Demo previously served as the CFO of Adobe Systems, Dolby Laboratories, LiveOps and Postini.
