o Santa Clara-Based JFrog Raises $50 Million in New Funding Round

Santa Clara, Calif. -- JFrog, the Santa Clara-based developer of an infrastructure platform for software management and distribution, said on Wednesday it has raised $50 million in a new round of funding. New investors Scale Venture Partners, Sapphire Ventures, Battery Ventures, Vintage Investment Partners and Qumra Capital joined several previous backers in the round, which the company will use to bolster its talent, technology development and global expansion activities. "This investment will allow us to keep leading the market and push our products to a new level." o Microchip Technology to Acquire San Jose-Based Atmel in $3.6 Billion Deal

San Jose, Calif. -- Microchip Technology, an Arizona-based chipmaker, said it will acquire San Jose-based counterpart Atmel in a deal valued at about $3.6 billion. Microchip will pay $8.15 a share in cash and stock under the deal, which is expected to close during the second quarter. "As the semiconductor industry consolidates, Microchip continues to execute a highly successful consolidation strategy with a string of acquisitions," said Steve Sanghi, the company's president and CEO. "The Atmel acquisition is the latest chapter of our growth strategy and will add further operational and customer scale to Microchip." Atmel said it determined the latest deal to be superior to its previous $4.6 billion merger agreement with Dialog Semiconductor, announced in September. It has paid Dialog a termination fee of $137.3 million to terminate that deal. "Under the Microchip transaction, Atmel stockholders will receive a much higher cash consideration per share compared to the Dialog deal, as well as the opportunity for further upside through the ownership of stock of Microchip," said Steven Laub, the president and CEO of Atmel.

Citing unspecified "uncertainties" that developed since the sides agreed to the sale in July, Symantec said the purchase price has been reduced to $7 billion, down from the original $8 billion. The new deal is expected to close on Jan. 29. "In a difficult environment, we can move forward with a high degree of certainty around closing a transaction that represents attractive value for shareholders," said Michael Brown, Symantec's president and CEO.
