o Verizon Shaves $350 Million Off Price to Acquire Sunnyvale-Based Yahoo

Sunnyvale, Calif. -- In the wake of two massive data breaches, Verizon said on Tuesday it has reached a deal to knock $350 million of its price to acquire Sunnyvale-based Yahoo. In addition, the two companies have agreed to share legal and regulatory liabilities arising from the breaches, although Yahoo will continue to be solely responsible for liabilities resulting from shareholder lawsuits and SEC investigations. First announced last July, the deal, now worth $4.48 billion, is expected to close by mid-year. Despite the highly publicized breaches, Verizon said it still sees the addition of Yahoo as the quickest path to bolster its presence in the digital advertising space. "The amended terms of the agreement provide a fair and favorable outcome for shareholders," said Marni Walden, Verizon's executive vice president and president of product innovation and new businesses. "It provides protections for both sides and delivers a clear path to close the transaction in the second quarter." The agreement ends a months-long saga revolving around whether or not Verizon would pull out of the deal, which initially was worth $4.83 billion. Nonetheless, Yahoo said it considers the resolution a win. "We continue to be very excited to join forces with Verizon and AOL," said Marissa Mayer, the CEO of Yahoo. "This transaction will accelerate Yahoo's operating business especially on mobile, while effectively separating our Asian asset equity stakes. It is an important step to unlock shareholder value for Yahoo, and we can now move forward with confidence and certainty."

o Emeryville-Based MobiTV Raises $21 Million in New Funding Round

Emeryville, Calif. -- MobiTV, an Emeryville-based developer of IP-based video delivery platform, said on Tuesday it has raised $21 million in a new round of funding from Oak Investment Partners and Ally Corporate Finance. The company said it will use the proceeds to accelerate the expansion of its MobiTV Connect Platform, which is designed to help cable and broadband operators switch their pay TV offerings to IP-based systems. "Our ability to utilize widely adopted streaming devices allows real-time enablement of new technologies like 4K/HEVC, cloud DVR, replay TV, robust voice control and other consumer preferences," said CEO Charlie Nooney. Companies such as C Spire, DirectLink and Citizens Fiber have signed on to use the company's platform in their move to IP delivery.

o San Francisco-Based ConsejoSano Lands $4.9 Million in First Round

San Francisco -- ConsejoSano, the San Francisco-based developer of a digital health platform designed to help Spanish speakers navigate the U.S. healthcare system, said on Tuesday it has raised $4.9 million in its first round of funding. 7wire Ventures led the round, which also included participation from Tufts Health Ventures, TOTAL Impact Capital, Wanxiang Healthcare Investments, Acumen, Oxeon Partners and Impact Engine. The company, which now has raised $7.2 million since its inception, said it will use the proceeds to further develop its capability to collect data analytics that improve preventive care for Spanish speakers. ConsejoSano's platform provides HIPPA compliant multi-channel messaging, care navigation, data analytics and 24/7 access to native-Spanish speaking medical navigators. The majority of the company's clients are health plans, employers and at-risk providers.

o TestPlant Names John Bates as New CEO Based in San Francisco

San Francisco -- TestPlant, a U.K.-based developer of tools for digital service assurance and software test automation, on Monday named John Bates as its new CEO, based in the company's San Francisco office. Bates, most recently the CEO of Plat.One, acquired by SAP in September, succeeds founder George Mackintosh, who will remain on the company's board of directors. Mackintosh has led the company since 2008. The moves comes a year after the company landed an investment from The Carlyle Group, an investment firm that earlier had backed Bates' previous streaming analytics company, Apama. "Having backed John Bates and his first business… we are pleased that we can re-engage with such a seasoned executive who brings a tremendous amount of unique and highly applicable talent and experience to TestPlant," said Michael Wand, managing director at Carlyle. Apama was acquired by Progress Software in 2005 and is now part of Software AG. Bates also served as executive vice president of corporate strategy and CTO of Progress Software and as CTO of big data, head of industry solutions and chief marketing officer (CMO) of Software AG.
