o San Francisco-Based Digital Realty to Acquire DuPont Fabros in $7.6B Deal

San Francisco -- Digital Realty, a San Francisco-based owner and operator of data centers, said it will acquire Washington, DC-based counterpart DuPont Fabros Technology in an all-stock deal valued at $7.6 billion. Under the agreement, Dupont Fabros shareholders will receive 0.55 of a Digital Realty share for each of their own. Digital Realty said the acquisition, expected to close in the second half of this year, will bolster its presence in high-demand metro areas, and add several blue-chip clients. DuPont Fabros operates 12 data centers concentrated across Northern Virginia, Chicago and Silicon Valley. The acquisition "significantly enhances Digital Realty's ability to support the growth of hyper-scale users in the top U.S. data center metro areas, while providing meaningful customer and geographic diversification for DuPont Fabros," said William Stein, Digital Realty's CEO. "The combination is expected to generate both operating and financial benefits."

o S.F.-Based ScriptDash Changes Name to Alto, Lands $23 Million in Funding

San Francisco -- ScriptDash Pharmacy, the San Francisco-based provider of pharmacy services and developer of a prescription management technology platform, said on Monday it has changed its name to Alto Pharmacy and raised $23 million in a new round of funding. Participants included Greenoaks Capital, Rahul Mehta of DST Global, Twitch co-founder Justin Kan and Jackson Square Ventures. The company plans to use the capital to expand to a number of major U.S. cities, starting with the Greater Los Angeles area. Founder and CEO Mattieu Gamache-Asselin said the name change reflects the idea that "we… began to feel that we had a larger story to tell than just a pharmacy that delivers." Alto over the past two years has forged relationships with several medical institutions in the Bay Area, including Stanford Hospital and UCSF Medical Center.

o San Rafael-Based Nomadic Lands $6 Million in Seed Funding

San Rafael, Calif. -- Nomadic, a San Rafael-based immersive entertainment company developing virtual reality experiences, said on Monday it has landed $6 million in a new round of seed funding, led by Horizons Ventures. Maveron, Presence Capital, Vulcan Capital and Verus International also participated in the round, which the company will use to expand its staff, further develop its technology and prepare for international expansion. "There's currently a huge opportunity for out-of-home location-based VR," said CEO Doug Griffin. "We [now] have the support and resources to forge a new entertainment category, and a new medium for interactive storytelling." Nomadic partners with gaming and film studios to create custom out-of-home VR focused content. The company also has created a modular set of components that includes equipment, infrastructure, technology and content for a variety of commercial spaces -- such as cinemas, malls, resorts, airports, casinos and theme parks -- to build tactile, onsite VR attractions.

o Santa Clara-Based Intel Clears Hurdle in $15.3 Billion Mobileye Deal

Santa Clara, Calif. -- Intel, the Santa Clara-based chipmaker, said on Monday it has moved one step closer to its proposed $15.3 billion acquisition of Israel's Mobileye, a developer of computer vision technology for self-driving cars. The company announced the expiration of the waiting period under the Hart-Scott-Rodino Act, meaning that both the Federal Trade Commission (FTC) and Department of Justice have cleared the deal based on antitrust laws. That satisfies one of the closing conditions of the deal, with Intel said will bolster its position in the fast-growing market for autonomous vehicle systems, data and services, expected to grow to $70 billion by 2030. The company last month launched a cash tender offer, paying $63.54 a share. That tender offer is scheduled to expire on June 21, unless extended or earlier terminated. In order to complete the acquisition, Intel first must receive regulatory approvals in some foreign jurisdictions, and be tendered at least 95% of Mobileye's outstanding shares.

Campbell, Calif. -- Wave Systems, an affiliate of ESW Capital, said on Monday it has completed its $462 million acquisition of Campbell-based Jive Software, a developer of community collaboration software. The deal was first announced in early May. Jive, whose stockholders received $5.25 a share through a cash tender offer, is now part of Texas-based Aurea Software, another portfolio company of ESW's that develops a customer experience technology platform. Scott Brighton, the CEO of Aurea, said the addition of Jive "will play a foundational role in helping Aurea deliver transformational customer experiences for our clients."
